Ashleigh Le Principal Solicitor

Ashleigh is an experienced corporate and commercial lawyer, specialising in corporate transactions. She has represented myriad corporate clients in structuring and negotiating mergers and acquisitions, corporate reorganisations, joint ventures, strategic partnerships, securities offerings, equity fundraisings and debt restructurings.  

Ashleigh’s expertise extends to advising on a range of corporate and commercial matters, including general corporate law (corporate governance and directors’ duties), regulatory compliance matters and commercial agreements. She advises domestic and international clients across a variety of industry sectors, including healthcare, IT, retail, manufacturing, and food & beverage.  

Ashleigh’s experience prior to joining KHQ includes serving as General Counsel and member of the Executive Leadership Team at Sushi Sushi Group, during which time she supported the Group through its restructure and divestment to Odyssey Private Equity. Her other relevant experience includes:  

  • Acting for founders in the divestment of their businesses, including the sale of:  
    • a technology business (circa $50 million); 
    • an energy transition business (circa $65 million); 
    • an infrastructure manufacturing business (circa $75 million);  
    • Chefgood to MarleySpoon (ASX:MMM); 
    • a security, identity and access management solutions company to CyberCX, a BGH Private Equity company; and  
    • the Australian contingent workforce company to a US-based global workforce deployment group (circa between $50 million and $75 million).  
  • Acting for buyers in the acquisition of several enterprises, including acting for: 
    • the Australian subsidiary of a Thai listed company in the acquisition of the company in the manufacturing and distribution of 4WD applications (circa $70 million);  
    • US Private Equity firm in the acquisition of the total issued share capital of the company operating a labour-hire business (circa $30 million); 
    • a large privately-owned company in the acquisition of shares in the chemical manufacturing company (circa $50 million);  
    • ASX listed company in the acquisitions of several businesses, including the business of manufacturing and distributing agricultural chemicals based in NSW and Qld, the business of manufacturing and distributing a wide range of water treatment chemicals and other related products; and the acquisitions of the total issued share capital of several companies, including the company operating a manufacturing and distributing agricultural chemicals business based in WA, the company operating a business of producing and distributing motor vehicle diesel exhaust fluid, and the company operating a business of manufacturing and distribution of a wide range of products ranging from therapeutic goods, personal care, industrial, insecticides, and household products; and 
    • a corporate health group in the acquisition of 10 different allied health practices.
  • Acting for joint venture parties in several joint ventures including a technology commercialisation joint venture, as well as retail, manufacturing and distribution joint ventures.  

Ashleigh recently completed the “Mergers and Acquisitions: Structuring and Leading Deals” executive course at Harvard Law School, and “Negotiation Mastery” at Harvard Business School.
